Acceptance of Terms

By accessing or using AlloyQA ("Service," "we," "us," or "our") at alloyqa.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms with an updated effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.

Description of Service

AlloyQA is a quality intelligence service for delivery workflows. The Service helps teams review tickets when they move through configured workflow statuses, prepare approved ticket updates, generate QA coverage from finalized requirements, check PRs and MRs against finalized requirements and QA plans, and build team memory from accepted rules and bug patterns. Specifically, the Service allows you to:

  • Connect Jira or Linear workspaces.
  • Connect GitHub or GitLab repositories where enabled.
  • Configure workflow statuses where AlloyQA should run.
  • Generate ticket reviews with suggested updates and open decisions.
  • Prepare approved ticket updates for review before writing them back.
  • Generate QA coverage, including test cases, regression checks, exploratory areas, and test data.
  • Run implementation checks when PRs or MRs are opened or updated.
  • Compare PR/MR diffs, changed files, and test changes against finalized requirements and QA plans.
  • Post implementation check comments or status summaries to connected PRs or MRs.
  • Store review history, approved updates, answered decisions, locked review snapshots, and team memory.
  • Post short review comments, implementation check comments, or links to connected Jira, Linear, GitHub, or GitLab items.
  • Where enabled, integrate with related tools such as Confluence, GitHub, GitLab, or TestRail.

The Service relies on third-party AI models and infrastructure (currently Google Cloud Vertex AI using Gemini-family models) to generate reviews, suggested updates, final ticket updates, QA coverage, and related memory. Generated output is probabilistic and requires human review before being relied upon.

03

Accounts & Registration

Some features of the Service require you to create an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and not share your credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

If you create or join a workspace, your access may depend on your assigned role, such as Admin, Product, QA, or other roles we make available. Workspace admins are responsible for inviting users, assigning roles, configuring integrations, and managing billing or usage where applicable.

We reserve the right to terminate or suspend accounts that violate these Terms, at our sole discretion, with or without notice.

04

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Prohibited Conduct

  • Use the Service to process data you do not have the right to share or process
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Use automated means to scrape, crawl, or harvest data from the Service without our prior written consent
  • Upload or submit content that is unlawful, defamatory, obscene, or that infringes third-party intellectual property rights
  • Attempt to gain unauthorized access to other users' accounts, data, or systems
  • Use the Service to develop a competing product or service
  • Resell, sublicense, or otherwise commercialize access to the Service without our written authorization

Fair Use

You agree not to use the Service in a manner that places excessive or unreasonable load on our infrastructure. We reserve the right to impose rate limits, throttle usage, or suspend access to protect the stability and availability of the Service for all users.

05

Third-Party Integrations

The Service allows you to connect third-party platforms such as Jira, Linear, GitHub, and GitLab. Where enabled, AlloyQA may also support additional tools such as Confluence or TestRail. By connecting these integrations, you:

  • Authorize AlloyQA to read issue context, monitor configured workflow status changes, read PR/MR metadata and diffs, post review or implementation check comments, and write approved updates back to connected tickets when you choose to do so
  • Confirm that you have the right to grant such access under your agreements with those providers
  • Acknowledge that your use of those platforms remains subject to their own terms of service and privacy policies
AlloyQA does not silently rewrite connected tickets or post implementation check comments without your approval or configured workflow rules. Ticket updates are prepared for review and written back to Jira, Linear, or another connected tool only after approval by an authorized user, unless you explicitly configure a different workflow.

We are not responsible for the availability, accuracy, or conduct of third-party platforms. If a third-party API changes or becomes unavailable, related features of the Service may be affected without notice.

You may revoke any integration at any time from the Integrations settings panel. We will delete stored credentials for that integration upon disconnection.

06

AI-Generated Content

The Service uses AI to generate ticket reviews, suggested updates, open decisions, answer options, final ticket updates, QA coverage, test cases, regression checks, exploratory areas, test data, implementation check findings, PR/MR status summaries, suggested next actions, summaries, and memory extraction based on the ticket, documentation, QA coverage, and PR/MR content you provide or connect. You understand and agree that:

  • AI-generated output is advisory, probabilistic and may contain errors, omissions, or inaccuracies
  • Generated updates, decisions, and coverage are suggestions, not exhaustive or guaranteed-correct specifications
  • Implementation check findings are advisory and should be reviewed before being used to make merge, release, or QA decisions
  • You are responsible for reviewing and approving any suggested update before it is used or written back to a connected tool
  • AlloyQA makes no warranty that AI output will be fit for any particular purpose or meet your quality standards
Do not use AI-generated suggestions or coverage as a substitute for professional product, engineering, or QA judgment. Always review output before approving it to be written back to production project trackers.
07

Intellectual Property

AlloyQA IP

The Service, including its design, source code, trademarks, and underlying technology (excluding your content and third-party components), is owned by AlloyQA and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use AlloyQA's name, logo, or branding without our prior written consent.

Your Content & Team Memory

You retain ownership of all ticket content, solution designs, saved reviews, findings, test cases, QA coverage, PR/MR metadata, implementation check results, comments, and other data you input into or generate through the Service ("Your Content").

The Service may store approved ticket updates, answered decisions, bug patterns, QA coverage, implementation check results, and related review context as workspace memory. Workspace memory is used to improve future reviews for that workspace. You grant AlloyQA a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content and workspace memory solely as necessary to provide the Service to you.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

08

Payment & Subscriptions

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

  • You authorize us to charge your payment method on a recurring basis at the rates described at the time of purchase
  • Subscription fees are charged in advance for each billing period and are non-refundable except as required by law or as expressly stated in our refund policy
  • We reserve the right to change pricing with at least 30 days' notice; continued use after the price change takes effect constitutes acceptance
  • If payment fails, we may suspend or downgrade your account until payment is resolved

Plans may include usage limits based on review runs, seats, workspaces, integrations, or other usage metrics. A review run may include a ticket review, QA coverage generation, or implementation check. Opening an existing review, viewing a review, answering decisions, accepting updates, posting comments, or writing approved updates back to a connected tool does not necessarily create a new review run unless stated in your plan.

We use Paddle as our payment processor and billing platform for paid subscriptions, including checkout, invoicing, subscription management, and related tax handling. Your use of Paddle-powered billing flows may also be subject to Paddle's terms, privacy policy, and other applicable policies.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.

09

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLOYQA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

These limitations apply regardless of the legal theory under which damages are sought, even if AlloyQA has been advised of the possibility of such damages.

12

Indemnification

You agree to defend, indemnify, and hold harmless AlloyQA and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property rights.

13

Termination

Either party may terminate the agreement formed by these Terms at any time:

  • You may stop using the Service and delete your account at any time via account settings or by contacting us.
  • We may suspend or terminate your access, with or without notice, if you breach these Terms, if we discontinue the Service, or for any other reason at our discretion.

Upon termination: your right to access the Service ceases immediately; we may delete your account data after a reasonable retention period; and provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, liability limitations, and indemnification) will survive.

14

Governing Law & Disputes

These Terms are governed by the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over such disputes, subject to applicable law.

You agree to resolve disputes with us individually and waive any right to participate in a class action lawsuit or class-wide proceeding to the extent permitted by applicable law.
