Service

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms with an updated effective date. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

Alloyqa is available on the web and as a macOS app for software work. It lets you connect GitHub repositories, create and collaborate on Projects, Ideas, Tasks, reviews, and feedback, and run Tasks through the Alloyqa agent and Cloud execution. Alloyqa may prepare code changes, commits, branches, and pull requests for review or merge according to the configured completion mode.

The Alloyqa agent uses managed Cloud execution and configured model-provider credentials. Managed Cloud Task execution does not require a separate coding-agent subscription or sign-in to use.

Certain features may be offered as beta or early-access functionality. These features may change, be suspended, fail, or produce incomplete results and may not be covered by all service commitments.

Some features of the Service require you to create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and not share your credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

If you create or join a workspace, your access depends on your assigned role. Workspace administrators are responsible for inviting users, assigning roles, configuring integrations, and managing workspace settings.

You may stop using the Service at any time. Workspace owners can use the in-product workspace deletion action, and you may contact us with an account-deletion request. We reserve the right to terminate or suspend accounts that violate these Terms, at our sole discretion, with or without notice.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Prohibited Conduct

• Use the Service to process data you do not have the right to share or process
• Attempt to reverse-engineer, decompile, or extract proprietary software architecture, private interfaces, or protected implementation
• Circumvent, disable, or otherwise interfere with security-related features of the Service
• Use automated means to scrape, crawl, or harvest data from the Service without written consent
• Upload or submit content that is unlawful, defamatory, obscene, or that infringes third-party intellectual property rights
• Attempt to gain unauthorized access to other users' accounts, data, or systems
• Resell, sublicense, or commercialize access to the Service without written authorization

Fair Use

You agree not to use the Service in a manner that places excessive or unreasonable load on our infrastructure. We reserve the right to impose rate limits, throttle usage, or suspend access to protect the stability and availability of the Service for all users.

The Service allows you to connect GitHub. When enabled, you explicitly authorize Alloyqa to:

• Read repository metadata, source context, branches, commits, pull requests, and reviews for repositories selected for Tasks
• Prepare and modify files in repositories selected for a Task within an isolated Cloud workspace used by the Alloyqa agent
• Run relevant development checks in that execution environment
• Create branches and commits and push changes to repositories selected for Tasks
• Open pull requests for review
• Merge pull requests when permitted by the configured Review, Auto-merge, or Ship Together policy

By connecting GitHub, you confirm that you have all necessary rights and permissions to grant Alloyqa such access under your agreements with that third-party provider. Your use of third-party platforms remains governed by their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or conduct of third-party platforms. You may disconnect supported integrations through available Alloyqa controls or revoke access directly through the connected provider.

The Service uses artificial intelligence to assist with software work through Alloyqa-managed model-provider execution. Specifically, Alloyqa may use AI to:

• Analyse Task requests and repository context
• Generate or modify code
• Generate repository and browser tests
• Run relevant development workflows and checks in the selected execution environment
• Interpret execution results and error logs
• Prepare pull requests, evidence, and delivery summaries

You understand and agree that:

• AI-assisted outputs and conclusions may contain errors, omissions, or inaccuracies
• Generated tests may not cover every potential failure mode or edge case
• Differences between execution environments may affect test results
• You are responsible for configuring appropriate Review or Auto-merge policies for your workspace
• You remain responsible for how generated changes, pull requests, and evidence are used, merged, or deployed
• Alloyqa does not guarantee defect-free or secure software

Alloyqa IP

The Service, including its design, source code, trademarks, and underlying technology (excluding your content and third-party components), is owned by the operator of Alloyqa and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Alloyqa's name, logo, or branding without prior written consent.

Your Content & Generated Output

You retain ownership of all Task, Project, Idea, feedback, repository source code, configuration, pull-request content, execution results, and review information input into or processed by the Service ("Your Content").

As between you and Alloyqa, you own the code changes, patches, commits, tests, and other outputs generated specifically for your workspace, subject to applicable law and third-party rights.

You grant Alloyqa a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content and generated outputs solely as necessary to operate and provide the Service to you.

Alloyqa offers a Free plan with up to 100 Tasks and 1 human member, and a Team plan priced at $39 per Workspace per month. Team subscriptions are handled through Paddle. Team membership does not change the subscription price.

Alloyqa agent usage is billed separately based on usage and requires available Cloud balance. Cloud balance purchases are handled through Paddle; Cloud execution is not included in the Workspace subscription.

Refunds, cancellations, and billing corrections are governed by our Refund Policy.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We explicitly do not warrant that:

• The Service will meet your specific requirements or expectations
• Generated or modified source code will be complete, secure, or defect-free
• Generated repository or browser tests will cover all potential failure cases
• Alloyqa agent and Cloud execution environments, staging environments, and production environments will match each other identically
• The Service, model providers, GitHub, or other third-party providers will operate without interruption, build failures, or outages
• Any errors or defects will be corrected immediately

Alloyqa may merge eligible pull requests when Auto-merge is authorized by the workspace and its configured conditions are satisfied. Alloyqa does not autonomously deploy changes to production. You are responsible for configuring appropriate Review or Auto-merge policies and for how generated output is merged or deployed.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR OF ALLOYQA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Software bugs, security vulnerabilities, repository or branch changes, failed builds, data loss, or product failures arising from generated source code, incomplete tests, third-party integration outages, or your team's decision to merge or deploy generated changes
• Unauthorized access to or alteration of your data
• Conduct or content of third parties on or through the Service

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE OPERATOR OF ALLOYQA EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALLOYQA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Indemnification

You agree to defend, indemnify, and hold harmless Alloyqa and its operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property rights.

Termination

Either party may terminate the agreement formed by these Terms at any time:

• You may stop using the Service at any time. Workspace owners can delete a workspace through the in-product workspace deletion action, and you may contact us with an account-deletion request.
• We may suspend or terminate your access, with or without notice, if you breach these Terms, if we discontinue the Service, or for any other reason at our discretion.

Upon termination, your right to access the Service ceases immediately, and provisions of these Terms that by their nature should survive termination will survive.

Governing Law & Disputes

These Terms are governed by the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over such disputes, subject to applicable law.
