Service

By accessing or using AlloyQA ("Service," "we," "us," or "our") at alloyqa.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms with an updated effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

AlloyQA is an AI-powered QA test generation platform. The Service allows you to:

• Import software tickets from Jira, Linear, GitHub Issues, GitLab, or plain text
• Generate test cases, acceptance criteria coverage, and QA insights using AI
• Export test suites to TestRail, Excel, Cucumber/Gherkin, and other formats
• Configure automated QA bots on GitHub Pull Requests and GitLab Merge Requests
• Save, manage, and revisit test runs in a personal workspace history

The Service relies on third-party AI models (currently the Google Gemini API) to generate test content. Generated output is probabilistic and may require review before use in production workflows.

Some features of the Service require you to create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and not share your credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to terminate or suspend accounts that violate these Terms, at our sole discretion, with or without notice.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Prohibited Conduct

• Use the Service to process data you do not have the right to share or process
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Circumvent, disable, or otherwise interfere with security-related features of the Service
• Use automated means to scrape, crawl, or harvest data from the Service without our prior written consent
• Upload or submit content that is unlawful, defamatory, obscene, or that infringes third-party intellectual property rights
• Attempt to gain unauthorized access to other users' accounts, data, or systems
• Use the Service to develop a competing product or service
• Resell, sublicense, or otherwise commercialize access to the Service without our written authorization

Fair Use

You agree not to use the Service in a manner that places excessive or unreasonable load on our infrastructure. We reserve the right to impose rate limits, throttle usage, or suspend access to protect the stability and availability of the Service for all users.

The Service allows you to connect third-party platforms including Jira, Linear, GitHub, GitLab, and TestRail. By connecting these integrations, you:

• Authorize AlloyQA to access and transmit data from those platforms on your behalf, to the extent necessary to provide the Service
• Confirm that you have the right to grant such access under your agreements with those providers
• Acknowledge that your use of those platforms remains subject to their own terms of service and privacy policies

We are not responsible for the availability, accuracy, or conduct of third-party platforms. If a third-party API changes or becomes unavailable, related features of the Service may be affected without notice.

You may revoke any integration at any time from the Integrations settings panel. We will delete stored credentials for that integration upon disconnection.

The Service uses AI to generate test cases, risk assessments, and QA insights based on the ticket content you provide. You understand and agree that:

• AI-generated output is probabilistic and may contain errors, omissions, or inaccuracies
• Generated test cases are suggestions, not exhaustive or guaranteed-correct specifications
• You are solely responsible for reviewing, validating, and deciding whether to use any AI-generated content in your QA workflows
• AlloyQA makes no warranty that AI output will be fit for any particular purpose or meet your quality standards

AlloyQA IP

The Service, including its design, source code, trademarks, and underlying technology (excluding your content and third-party components), is owned by AlloyQA and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use AlloyQA's name, logo, or branding without our prior written consent.

Your Content

You retain ownership of all ticket content, test cases, and other data you input into or generate through the Service ("Your Content"). By using the Service, you grant AlloyQA a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content solely as necessary to provide the Service to you.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

• You authorize us to charge your payment method on a recurring basis at the rates described at the time of purchase
• Subscription fees are charged in advance for each billing period and are non-refundable except as required by law or as expressly stated in our refund policy
• We reserve the right to change pricing with at least 30 days' notice; continued use after the price change takes effect constitutes acceptance
• If payment fails, we may suspend or downgrade your account until payment is resolved

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that:

• The Service will meet your specific requirements or expectations
• AI-generated content will be accurate, complete, or fit for any particular purpose
• The Service will be available at any particular time or location
• Any errors or defects will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLOYQA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Bugs, defects, or software failures in your product arising from reliance on AI-generated test cases
• Unauthorized access to or alteration of your data
• Conduct or content of third parties on or through the Service

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALLOYQA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

These limitations apply regardless of the legal theory under which damages are sought, even if AlloyQA has been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless AlloyQA and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property rights.

Either party may terminate the agreement formed by these Terms at any time:

• You may stop using the Service and delete your account at any time via account settings or by contacting us.
• We may suspend or terminate your access, with or without notice, if you breach these Terms, if we discontinue the Service, or for any other reason at our discretion.

Upon termination: your right to access the Service ceases immediately; we may delete your account data after a reasonable retention period; and provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, liability limitations, and indemnification) will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

You agree to resolve disputes with us individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

• Entire Agreement — These Terms (together with the Privacy Policy) constitute the entire agreement between you and AlloyQA regarding the Service and supersede all prior agreements.
• Severability — If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver — Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure — We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
